Terms of Service

1. Legal Entity & Acceptance of Terms

This website (www.otbix.com) and the associated digital transformation and AI automation services are owned and operated by Simb Technologies (hereinafter referred to as the "Company", "we", "us", or "our"), operating commercially under its registered trade name Otbix Systems.

By visiting our website, scheduling a Workflow Audit, engaging our engineering services, or making payments through our authorized payment gateways (including Razorpay), you ("Client", "User", or "you") agree to be legally bound by these Terms of Service. If you do not agree to these terms, please do not access our services.

2. Scope of Services

Otbix Systems designs, builds, integrates, hosts, and maintains custom 24/7 AI Employees and operational workflows for businesses. Our core offerings include:

  • Front-Desk & Sales Assistant: 24/7 WhatsApp inquiry response, qualification, and calendar booking.
  • Billing & Collections Officer: Payment reminder automation, dynamic UPI payment links, and ledger reconciliation with accounting software.
  • Catalog & Inventory Sync: Real-time 2-way synchronization with WooCommerce, Shopify, or warehouse inventory.
  • Reactivation & Retention Officer: Automated dormant client outreach and post-purchase review collection.
  • Executive Tier & Chief of Staff: Daily business roll-ups and on-demand operational telemetry.

All our services are custom-configured software and digital infrastructure solutions delivered directly to the client's systems. We do not manufacture or deliver physical goods.

3. Client Prerequisites & Acceptable Use

To ensure high deliverability and system stability, the Client agrees to:

  • Provide necessary API credentials, phone numbers, and sandbox access required for deployment in a timely manner.
  • Adhere strictly to the Meta WhatsApp Business Policy, Anti-Spam regulations, and applicable telecom laws in India.
  • Refrain from using our AI systems for deceptive, fraudulent, defamatory, or unlawful promotional activities.

Otbix Systems reserves the right to suspend or terminate services immediately without refund if the client uses the system to violate applicable laws or third-party platform terms.

4. Invoicing, Payments & Taxes

All commercial quotes and invoices are issued in Indian National Rupees (INR) unless otherwise agreed in writing.

  • Payment Processing: Online payments are processed securely via authorized Indian payment gateways, including Razorpay, supporting UPI, Net Banking, and Credit/Debit cards.
  • Invoicing Entity: Tax invoices are generated by Simb Technologies (Otbix Systems) with applicable Goods and Services Tax (GST) charged in compliance with Indian tax regulations.
  • Retainers & Renewals: Monthly infrastructure and maintenance retainers are payable in advance of each 30-day service cycle. Failure to settle dues within 7 business days of invoice generation may result in temporary suspension of AI webhooks and API endpoints.

5. Intellectual Property & Client Data

The Client retains 100% full and unconditional ownership of all proprietary data, client lists, customer transaction histories, and business records connected to the system.

Otbix Systems retains ownership of its underlying proprietary orchestration architecture, reusable prompt libraries, baseline connector templates, and internal monitoring tools. Upon full payment of deployment fees, the Client receives a non-exclusive, perpetual license to run and utilize the customized automation workflows configured for their business.

6. Warranties & Limitation of Liability

While we engineer our AI Employees to the highest enterprise standards with multi-step validation and guardrails, large language models and external cloud APIs (e.g., WhatsApp Cloud API, OpenAI, Google Cloud, Razorpay) are subject to external platform latency, scheduled maintenance, or policy changes beyond our reasonable control.

To the maximum extent permitted by Indian law, neither Simb Technologies nor Otbix Systems shall be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, data loss, or business interruption. Our total liability for any claim arising out of these terms shall not exceed the total fees paid by the Client to us in the preceding three (3) months.

7. Governing Law & Dispute Resolution

These Terms of Service shall be governed by, interpreted, and enforced in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Any legal action, dispute, or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
